Clinic Service Agreement
For veterinary practices subscribing to Zooby · Effective 13 September 2026
This agreement is between Zoobypet Tech Pvt. Ltd. (“Zooby”, “we”) and the veterinary practice that registers for an account (“the Clinic”, “you”). The person who completes the signup confirms they are authorised to accept it for the Clinic. It governs the Clinic's use of the platform. The Terms of Service and Privacy Policy also apply to every individual account; where this agreement and the Terms of Service differ on a matter concerning the Clinic as a business customer, this agreement prevails.
1. What Zooby provides
A hosted veterinary practice platform: patient and owner records, consultations, prescriptions, lab orders, inventory and point of sale, GST documents, boarding, reminders and notifications by WhatsApp and email, an AI case assistant, and portals for the Clinic's pet parents, suppliers and labs. Features are added and improved over time; we will not remove a feature the Clinic materially relies on without reasonable notice.
2. Your account and users
The Clinic invites its own staff and sets each person's role. The Clinic is responsible for who it invites, for removing people who leave, and for everything done under its accounts. Logins are personal and must not be shared.
3. Fees and billing
Subscription fees, the billing period and any usage-based charges (for example AI questions beyond an included allowance, or messaging volumes) are as agreed with the Clinic in writing at signup or on the current price list. Fees are payable in advance and are exclusive of GST, which is charged additionally at the applicable rate. We will give at least 30 days' notice before a price change takes effect. If an invoice is unpaid past its due date we may suspend the account after notice; suspension does not cancel accrued fees.
4. Trial and demo data
A trial or demo account may carry sample data and reduced limits. Sample data is deleted when the Clinic goes live. Nothing entered during a trial is guaranteed to be retained if the Clinic does not subscribe.
5. The Clinic's data
All clinical records, patient and owner details, inventory and financial data the Clinic enters remain the Clinic's property. We process them only to provide and support the service, on the Clinic's instructions, and never sell them or use them to market to the Clinic's pet parents. Under India's Digital Personal Data Protection Act, 2023, the Clinic is the data fiduciary for its patients' records and Zooby is its data processor. The Clinic is responsible for having a lawful basis for the personal data it uploads, and for the accuracy of what it enters.
6. Security and sub-processors
We apply the safeguards described at zooby.in/security. Data is stored in India. We use a limited set of sub-processors — hosting, messaging, email, payments, GST filing and AI providers — each under contractual obligations no weaker than these; the current list is in the Privacy Policy. If we learn of a security breach affecting the Clinic's data we will notify the Clinic without undue delay, describe what happened and what we are doing, and support the Clinic's own notification duties.
7. Availability and support
We aim for 99.5% monthly availability, excluding planned maintenance (announced in advance where practical) and causes outside our control. Support is by email at support@zooby.in on business days; we aim to acknowledge within one business day and to treat an outage that stops the Clinic working as the highest priority. These are service targets, not a payment-backed SLA, unless the Clinic holds a separate written SLA with us.
8. Clinical and regulatory responsibility
Zooby is a record-keeping and workflow tool. Diagnoses, prescriptions, treatment decisions and compliance with veterinary practice regulation are the Clinic's and its veterinarians' alone. AI-generated drafts — case-assist answers, suggested notes — are for a qualified veterinarian to verify, edit or discard, and are never a substitute for professional judgment. Documents the platform produces, including GST invoices, e-way bills and e-invoices, are generated from what the Clinic enters; the Clinic is responsible for their correctness and for its own tax filings.
9. Acceptable use
The Clinic will use the service only for legitimate veterinary practice, will not attempt to access another clinic's data or probe or overload the platform, and will not use it to send unsolicited messages. Messaging through WhatsApp and email is additionally subject to those providers' policies.
10. Confidentiality
Each side will keep the other's non-public business information confidential and use it only for this agreement. This does not cover information that is public, already known, or required to be disclosed by law.
11. Intellectual property
The platform, its software, design and brand remain ours or our licensors'. The Clinic receives a non-exclusive, non-transferable right to use the service for its own practice while the agreement is in force. Feedback the Clinic gives us may be used to improve the product without obligation.
12. Term, termination and exit
The agreement runs from signup until either side ends it. The Clinic may end it at any time by writing to support@zooby.in, effective at the end of the current billing period; fees already paid are not refunded except where the law requires. We may end it for material breach not remedied within 30 days of notice, for non-payment, or on 30 days' notice if the service is discontinued. After termination the Clinic may export its data for 30 days; after that we delete it, except where the law requires us to keep records.
13. Liability
The service is provided as is. Neither side is liable for indirect or consequential loss. Our total liability to the Clinic in any twelve-month period is limited to the fees the Clinic paid us in that period. Nothing in this agreement limits liability that cannot be limited by law, including for fraud. We are not liable for loss caused by inaccurate data the Clinic entered, by the Clinic's clinical decisions, or by third-party providers the Clinic chooses to use through the platform.
14. Changes to this agreement
We will post an updated version here with a new effective date and ask the Clinic's owner to accept it at their next sign-in when the change is material. Continuing to use the service after that acceptance is what makes the new version binding.
15. Governing law and disputes
This agreement is governed by the laws of India, and the courts of India have jurisdiction. Before starting proceedings each side will try in good faith to resolve the dispute by discussion between senior representatives.
